Terumo and Fuji Pharma agree to proceed to capital and business alliance

On February 5th, 2009, Terumo Corporation (hereinafter, “Terumo”) and Fuji Pharma Co., Ltd. (hereinafter, “Fuji Pharma”) have agreed to start discussions on forming a business alliance, which amplify the business at drug and device combination through capitalizing each company’s strengths. In conjunction with this business alliance, Terumo will purchase a part of Fuji Pharma’s shares with the objective of solidifying such collaboration.

1. Purchase of Fuji Pharma's shares by Terumo

Planned number of shares to be purchased by Terumo: 643,500
(5% of the total number of shares issued, 12,870,000)
Method of share purchasing: To purchase currently outstanding shares
Planned term of purchase: Until the end of December, 2009

2. Profile of Terumo Corporation

Business Activities: Manufacture and sales of medical devices and pharmaceutical products

Capital: 38.7 billion yen

Sales: 14.9 billion yen (for the fiscal year ending September 2008)

4. Future Prospect

Through such purchase of shares, Terumo and Fuji Pharma will further advance discussions of business alliance. The impact by such alliance on the two companies performance of this fiscal year will be limited. The impact for the following fiscal years will be announced with the view toward concrete progress of the alliance.
