Handling of proposal and offer

Terumo and its affiliates ("Terumo") occasionally receive, from third parties, ideas, memorandums, drawings, concepts, proposals and/or offers for our products and/or services, including without limitation, ideas for new or improved products, technologies, designs, manufacturing processes, advertisements, marketing plans, etc. ("Proposals"), while Terumo is undertaking research and development for new or improved products and/or services on its own in its various business fields ("Development"). In such situations, Development sometimes happens to be similar with Proposals and such similarity may cause troubles and disputes between the third parties and Terumo. In order to avoid such possible future confusion, Terumo has a policy not to accept, from third parties, any information which may contain ideas, inventions, developments, suggestions or other works ("Idea") unless Terumo specially requests an Idea. So you are requested not to send any Idea.

If, despite the above request, you send an Idea to our attention then such Idea will be treated with the understanding that you agreed to the following terms:

1. Terumo has no obligation to treat the Idea as confidential information.
2. Terumo has no obligation to study, evaluate or adopt the Idea.
3. Even if Terumo's products, technologies, designs, manufacturing processes, advertisements, marketing plans, etc. happen to be identical or similar in whole or in part to the Idea, Terumo has no responsibility and shall not be liable for any compensation therefor.
